These Terms of Use (“Terms”) govern your access to and use of the Modeve website (modeve.com.hk), the Modeve platform, mobile applications, and any related services (collectively, the “Service”) provided by Modeve (“we”, “us”, “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not access or use the Service.
1. Accounts and Registration
To use most features of the Service, you must register for an account. You agree to:
- Provide accurate, current and complete information during registration
- Maintain the security of your password and not share your account credentials
- Notify us immediately of any unauthorized use of your account
- Be responsible for all activities that occur under your account
We reserve the right to suspend or terminate accounts for any violation of these Terms or for any other reason at our sole discretion.
2. Permitted Use
You may use the Service only for lawful business purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates any applicable law or regulation
- Attempt to gain unauthorized access to the Service, other accounts, or any related systems
- Interfere with or disrupt the Service or servers/networks connected to the Service
- Upload or transmit viruses, malware, or any other harmful code
- Scrape, copy, reproduce, modify, distribute, or create derivative works of the Service without our express written permission
- Use the Service to store or transmit infringing, libelous, or otherwise unlawful material
- Use automated means (bots, scrapers, etc.) to access the Service except as expressly permitted
3. User Content and Responsibilities
You retain ownership of any content, data, files, messages, or materials you upload, submit, or generate while using the Service (“User Content”).
By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, use, reproduce, modify (for formatting/technical purposes), and display it solely to provide, maintain, and improve the Service.
You are solely responsible for:
- All User Content you upload or input
- Ensuring you have all necessary rights, licenses, and consents to upload such content
- Complying with all applicable laws (including data protection and employment laws) when using the Service to manage employees, clients, or other individuals
We do not monitor or control User Content and are not responsible for its accuracy, legality, or appropriateness.
4. Our Role – Processor vs Controller
When you use Modeve to manage your own employees, clients, contacts, or projects, you act as the data controller/user and we act as the data processor. You are responsible for determining the purposes and means of processing personal data and for complying with applicable privacy laws (including Hong Kong PDPO, GDPR where relevant, etc.).
We process personal data only in accordance with your instructions and our Privacy Policy.
5. Subscriptions, Billing and Payment
- Certain features require a paid subscription. Pricing and plan details are available on the pricing page.
- Subscriptions are billed in advance on a recurring basis (monthly or annually) unless otherwise stated.
- You are responsible for providing current, complete and accurate billing information.
- We use third-party payment processors (PayPal, Stripe, etc.). We do not store full payment card details.
- You agree to pay all fees and applicable taxes.
- We may suspend or terminate access if payment is overdue.
- No refunds for partial months or unused time unless required by law.
6. Intellectual Property
The Service, including all software, designs, text, graphics, logos, and other content (excluding User Content), is owned by Modeve or our licensors and protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-transferable, non-sublicensable license to use the Service during your active subscription solely for your internal business purposes.
7. Termination
You may terminate your account at any time. We may terminate or suspend your access immediately, without notice, if you breach these Terms, if payment is overdue, or for any other reason at our sole discretion.
Upon termination:
- Your right to use the Service ends immediately
- We may delete your account data after a reasonable retention period (subject to legal obligations)
- Outstanding fees remain payable
8. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided “as is” and “as available” without warranties of any kind
- We are not liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, goodwill, business interruption)
- Our total aggregate liability shall not exceed the fees you paid us in the twelve (12) months preceding the claim
9. Indemnification
You agree to indemnify and hold Modeve harmless from any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your User Content
- Your violation of these Terms
- Your violation of any law or third-party rights
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Hong Kong.
11. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and/or sending an email or in-Service notice. Continued use of the Service after such changes constitutes acceptance of the updated Terms.
